Terms of Service

These Terms of Service (“Terms”) govern your use of jacjacconsulting.store (the “Site”) and your purchase of digital products from JacJac Consulting (“JacJac Consulting,” “we,” “us” or “our”). By using the Site or buying a product, you agree to these Terms. If you don’t agree, please don’t use the Site or buy our products.

1. Our products

We sell downloadable digital products for finance, audit and nonprofit professionals, including:

•       FAR Audit Prep Kit

•       Nonprofit Financial Controls Template Pack

We may add, change or discontinue products, and change prices, at any time. Price changes don’t affect orders already placed.

2. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live, to buy from us. If you buy on behalf of an organization, you confirm you have authority to accept these Terms for it, and “you” includes that organization. You’re responsible for keeping your account login and download links secure and for all activity under your account.

3. Orders, payment and delivery

•       All prices are shown in U.S. dollars unless stated otherwise. Applicable sales taxes are added at checkout.

•       Payments are processed securely through Shopify and its payment partners. We don’t store your full card details.

•       Products are delivered digitally. You’ll receive a download link by email and on your order confirmation page after payment is complete.

•       We may refuse or cancel any order, for example in cases of suspected fraud or a pricing error. If we cancel a paid order, we’ll refund you in full.

•       If you don’t receive your download within 24 hours, check your spam folder and then contact us.

4. License to use our products

When you buy a product, we grant you a limited, non-exclusive, non-transferable license to download and use it for your own internal business or professional purposes, or for one organization you work for or advise.

You may:

•       Use, edit and customize the templates for your own work or for your organization

•       Share completed documents (for example, a filled-in policy or checklist) within your organization or with your auditors, board or funders

•       Make backup copies for your own use

You may not:

•       Resell, sublicense, share, give away or publish the products or any part of them, edited or not

•       Upload the original files to shared drives, websites or marketplaces where people outside your organization can access them

•       Use the products to create competing templates, kits or training materials for sale

•       Remove copyright notices or branding from the original files

Consultants who want to use our products with multiple clients, or organizations that need multi-user or enterprise access, should contact us about a separate license.

5. Intellectual property

All products, content, text, graphics, logos and materials on the Site are owned by JacJac Consulting or its licensors and are protected by copyright and other intellectual property laws. Except for the license in Section 4, no rights are transferred to you. All rights not expressly granted are reserved.

6. Refunds

Because our products are digital, all sales are final once files are downloaded or accessed, except as described in our Return & Refund Policy, which forms part of these Terms.

7. Professional disclaimer

Our products are educational and practical tools. They are not accounting, audit, tax, legal or other professional advice, and buying or using them does not create a client, consulting or advisory relationship with JacJac Consulting.

Regulations such as the Federal Acquisition Regulation (FAR), Uniform Guidance and GAAP change over time, and every organization’s situation is different. You are responsible for reviewing, adapting and applying the materials to your circumstances and for confirming that they meet current requirements. Please consult a qualified professional before relying on them for compliance, audit or legal decisions. We don’t guarantee any audit outcome, contract award, compliance status or regulatory result.

8. Disclaimer of warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. We don’t warrant that the products will be error-free, complete or current, or that the Site will be uninterrupted or free of viruses.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JACJAC CONSULTING WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, FUNDING, CONTRACTS OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO A PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THAT PRODUCT.

10. Indemnification

You agree to indemnify and hold harmless JacJac Consulting and its owners, employees and contractors from any claims, losses or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the products, or your violation of any law or third-party right.

11. Use of the Site

You agree not to use the Site for any unlawful purpose; attempt to gain unauthorized access to the Site or its systems; interfere with its operation; or copy, scrape or harvest its content. Links to third-party websites are provided for convenience only, and we aren’t responsible for their content or practices.

12. Privacy

Our collection and use of your personal information is described in our Privacy Policy, available on the Site.

13. Termination

If you breach these Terms, we may suspend or end your access to the Site and your license to use our products, without a refund. Sections 4 (restrictions), 5, 7, 8, 9, 10 and 14 survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Virginia, without regard to its conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Arlington COUNTY, Virginia, and you consent to their jurisdiction. Before filing any claim, you agree to contact us first and try in good faith to resolve the issue informally for at least 30 days.

15. Changes to these Terms

We may update these Terms from time to time by posting a new version on the Site with a new “Last updated” date. The Terms in effect when you place an order apply to that order. Continued use of the Site after changes means you accept the updated Terms.

16. General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision isn’t a waiver of it. These Terms, together with our Return & Refund Policy and Privacy Policy, are the entire agreement between you and JacJac Consulting about the Site and our products. You may not assign these Terms without our written consent.
